Absent Commission authorization, section 305(b)(1) of the Federal Power Act (FPA) (with some exceptions) prohibits an officer or director of a public utility from holding the position of officer or director of more than one public utility, and prohibits an officer or director or a public utility from also holding the position of officer or director any one of the following entities:
• Any bank, trust company, banking association, or firm that is authorized by law to underwrite or participate in the marketing of securities of a public utility; or
• Any company supplying electrical equipment to such utility.
In order to obtain Commission authorization to hold one or more of the prohibited positions, an applicant must provide information that enables the Commission to determine that neither public nor private interests will be adversely affected. FERC-520 consists of information collection activities that officers and directors of public utilities may use to seek authorization to hold interlocking positions. These activities take the form of a "full application," an "informational report," or a "notice of change."
There are no net adjustments of burdens. The program changes are due to the re-organization of the information activities. Instead of a single activity for labeled an “Application for Authority to Hold Interlocking Directorate Positions,” this request labels the activities according to the categories provided in the regulations: “Full Application,” “Informational Report,” and “Notice of Change.” In addition, the instructions for the information collection are updated with the OMB control number and a placeholder for the upcoming expiration date, and are revised to include the information required by 5 CFR 1320.8.
