Abstract: RULE 20A-1 UNDER THE INVESTMENT COMPANY ACT OF 1940 REQUIRES THAT ANY PROXY SOLICITATION OF WHICH A REGISTERED INVESTMENT COMPANY IS THE ISSUER SHALL MEET THE DISCLOSURE STANDARDS ESTABLISHED BY SECTION 14(A OF THE SECURITIES EXCHANGE ACT OF 1934 IN ORDER THAT SHAREHOLDERS MAY MAKE INFORMED VOTING DECISIONS.
