Abstract: Schedule 13E-4F (17 CFR 240.13e-102) may be used by a Canadian foreign private issuer to make a cash tender or exchange offer for the Canadian issuer’s own securities if less than 40 percent of the class of securities subject to the offer is held by U.S. holders. Schedule 13E-4F, along with the other forms and schedules under the multi-jurisdictional disclosure system, is designed to facilitate cross-border transactions in securities of Canadian issuers. Schedule 13E-4F is designed to provide U.S. investors in relevant Canadian securities with adequate information concerning the cash tender or exchange offer, the Canadian foreign private issuer, and the securities subject to the offer so that investors can make informed voting and investment decisions.
