Form F 4 (17 CFR 239.34 may be used by any foreign private issuer (defined in
Securities Act Rule 405 (17 CFR 230.405) for registration under the Securities Act of 1933 (“Securities Act”) of securities to be issued: (1) in a transaction of the type specified in Securities Act Rule 145(a) (17 CFR 230.145); (2) in a merger in which the applicable law would not require the solicitation of the votes or consents of all of the security holders of the company being acquired; (3) in an exchange offer for securities of the issuer or another entity; (4) in a public reoffering or resale of any such securities acquired pursuant to this registration statement; or (5) in more than one of the kinds of transactions listed in (1) through (4) registered on one registration statement.
The purpose of the information collection is to ensure the adequacy of information available to investors in connection with registered business combination transactions of foreign private issuers.
The increase in annual burden hours of 7,538 hours (from 13,999 to 21,537) and the increase in annual cost burden of $21,752,905 (from $17,013,425 to $38,766,330) is due to an increase in the estimated number of annual Form F-4 responses (from 39 to 60). Additionally, the increased annual cost burden estimate is impacted by an increased the cost estimate for outside professionals to $600 per hour to adjust the estimate for inflation from August 2006 to the present.
