Short Statement: The amendments in Release No. 33-10771 (IC-33836) will modify the registration, communications, and offering processes for registered closed-end funds and business development companies. The amendments to Rule 433 will permit registered closed-end funds and business development companies to use free writing prospectuses as is currently available to operating companies. For purposes of the PRA, we estimate that the amendments to Rule 433 will result in a net increase of 1,367 burden hours and a net increase in the cost burden of $1,640,000 for the services of outside professionals. These changes are due to amendments that will expand the scope of Rule 433 to registered closed-end funds and business development companies.
