Abstract: ITEM 404 OF REGULATION S-K GOVERNS THE DISCLOSURE OF TRANSACTIONS AND RELATIONSHIPS INVOLVING MANAGEMNT. THE ITEM STREAMLINES AND SIMPLIFIES THE DISCLOSURE REQUIREMENTS THAT WERE PREVIOUSLY CONTAINED IN ITEM 6(B) OF SCHEDULE 14A AND ITEM 402 OF REGULATION S-K. ITEM 404 LIKE THE OTHER PROVISIONS OF REGULATION S-K, IS NOT A SELF-OPERATIVE PROVISION, BUT WOULD BE TRIGGERED BY THE VARIOUS REGISTRATION STATEMEN UNDER BOTH THE SEC.
