Abstract: TO HELP INSURE THAT INVESTORS HAVE THE NECESSARY INFORMATION TO MAKE SECURITY PURCHASES THE SECURITIES ACT OF 1933 REQUIRES THE FILING OF A REGISTRATION STATEMENT ON SUCH SECURITIES WHICH MAKES PUBLICLY AVAILABLE THE INFORMATION NECESSARY FOR INFORMED INVESTING. FORM S-2 IS THE REGISTRATION PRESCRIBED FOR SUCH A PURPOSE FOR COMPANIES IN THE DEVELOPMENTAL STAGES WHICH CANNOT USE FORM S-18.
