Abstract: REGULATION C PROVIDES STANDARD INSTRUCTIONS TO GUIDE PERSONS WHEN FILING REGISTRATION STATEMENTS UNDER THE SECURITIES ACT OF 1933. THE PROPOSED AMENDMENTS TO THE RULES COMPRISING REGULATION C ARE NECESSARY TO CORRESPOND TO REVISIONS IN THE REGISTRATION FORMS AND DISCLOSURE REQUIREMENTS, AS PROPOSED, AND TO MODIFY OR ELIMINATE OUT-MODED AND UNNECESSARY REGULATIONS.
