Abstract: DUE TO THE HARM TO SECURITY HOLDERS WHICH MAY ATTEND GOING PRIVATE TRANSACTIONS, RULE 13E-3 AND SCHEDULE 13E-3 WHICH BECAME EFFECTIVE IN SEPTEMBER, 1979 REQUIRE DISCLOSURE OF INFORMATION IMPORTANT TO SECURITY HOLDERS IN DECIDING HOW TO RESPOND TO SUCH TRANSACTIONS. THE COMMISSION IS PROPOSING TO AMEND THE RULE TO EXEMPT CERTAIN TRANSACTIONS FROM THE DISCLOSURE REQUIREMENTS AND TO MAKE OTHER CLARIFYING AND TECHNICAL CHANGES.
